Factors to Consider When Starting a U.S. Business

If you are coming to the U.S. from a foreign country, you must first understand that "business entities" (corporations, limited liabilities companies, limited partnerships, etc.) are formed pursuant to state law - not federal law. This means that you will first have to select the state in which you will form your business. Many of my foreign clients ask if they should form their business in Delaware. My response to this question is, "where do you plan to live and do business?"
